What This Agreement Is
Section 1 & 2 — Parties, Purpose and Nature of Relationship
This Agreement is between Heelheid Venture Studio (operating the KerlHive project) and you as the Partner. It establishes a structured, performance-based referral arrangement. KerlHive handles everything — lead capture, qualification, event delivery, sales conversion, and payment processing. Your role is to refer qualified caregivers using your assigned tracking link.
You are an independent contractor — not an employee, partner under business law, or co-owner of KerlHive.
This is non-exclusive — you may have other business activities and partnerships simultaneously.
You are solely responsible for your own taxes, expenses, and legal compliance in your jurisdiction.
You may not independently collect payments, process enrollments, or represent yourself as operating KerlHive programs.
Compensation Structure
Section 5 — Three income streams, all from one referral link

Milestone bonuses reset every session — not monthly
The 40 Qualified Attendees required for a $100 milestone bonus are counted within a single qualifying live session only. Attendees do not accumulate across sessions, weeks, or months. Each session is assessed independently. See Section 4.7 of the full contract.
Illustrative single-session example — not a guarantee
5 Launch enrollments + 25 Readiness enrollments + 200 qualified attendees in one session = USD $3,495 estimated. This represents a single hypothetical example only and does not imply consistent or recurring results. Most partners will earn significantly less. Not a guarantee of income.
Payment Terms & Payout Rules

You only
KerlHive does not withhold taxes. You are solely responsible for all income reporting in your jurisdiction.
Launch Program (ICPLP)
2 enrollments
= $998.50 minimum before payout releases. Rolls over monthly.
Readiness Program (ICPRP)
5 enrollments
= $99.75 minimum before payout releases. Rolls over monthly.
Milestone Bonus
1 unit
= 40 qualified attendees in a single session. Partial counts do not roll over.
Thresholds are evaluated independently per stream and are not combined. ICPLP and ICPRP unmet thresholds roll over to the following month. Milestone partial session counts reset — they do not roll over to the next session.
Qualified Referral Criteria
Section 4 — Who counts as a qualified referral
A referral only qualifies for commission if all of the following conditions are met simultaneously. Partial compliance does not qualify.
Geographic eligibility
UK, US, Canada, Australia, Europe, or any country classified by KerlHive as a developed nation. Partners may be located anywhere globally.
Professional background
Minimum 1 year of caregiving or relevant healthcare experience. KerlHive verifies this internally.
Tracking attribution
Must register using your assigned tracking link. No link = no commission. KerlHive's records are final.
Live attendance (milestone)
For milestone bonuses: minimum 45 minutes continuous attendance in real time, verified by KerlHive's event platform records. Replays do not count.
Automated, duplicate, recycled, or fraudulent registrations do not qualify
Bot entries, duplicate accounts, incomplete attendance, recycled attendees across sessions, or any attempt to manipulate referral metrics will result in disqualification and may trigger immediate termination of this Agreement.
Your Responsibilities
Section 3 — What you can do, must do, and must never do

Promote KerlHive programs ethically, accurately, and truthfully using only approved messaging and materials.
Use only your officially assigned tracking link for all referrals.
Direct your promotional content specifically at genuinely qualified caregivers with relevant experience in eligible markets.
Comply with all applicable advertising, marketing, data privacy, and consumer protection laws in your country.
Keep all terms of this Agreement confidential — including commission rates, thresholds, and operational processes.
Guaranteeing income, results, or career outcomes to potential referrals.
Creating unofficial sales pages, payment links, or mirrored funnels for KerlHive programs.
Using bots, automation, or coordinated groups to inflate attendance counts or referral metrics.
Instructing or encouraging individuals to misrepresent their background, location, or experience to pass qualification criteria.
Soliciting KerlHive participants or staff for competing programs — during the agreement term and for 12 months after termination.
Term, Renewal & Termination
Section 8 — Duration, renewal protocol, and what happens after
Initial term
3 months
From the date of electronic acceptance. Does not auto-renew.
Renewal
Written opt-in only
Both parties must confirm renewal in writing. Verbal or implied renewals are not valid.
This agreement does not auto-renew
At the end of the 3-month term, this Agreement expires unless both parties confirm renewal in writing via email. Renewal confirmations must reference this Agreement by name and your Effective Date. All original terms carry forward unless a written amendment is attached. Contact hello@kerlhive.com before expiry to discuss renewal.
Immediate termination for cause — no notice required
KerlHive may terminate immediately — with potential forfeiture of unpaid earnings — for: misconduct, breach of confidentiality, misrepresentation, violation of laws, tracking manipulation, failure to cooperate with an audit, breach of non-solicitation obligations, or material breach of any warranty given at signing.
Key Legal Protections
Sections 12–21 — Audit rights, IP, data, indemnification, and general provisions
Audit Rights (Section 12): KerlHive may audit your promotional activity, methods, and audience composition at any time. You must cooperate within 5 business days of any written request.
Clawback Rights (Section 6.6): KerlHive may recover any milestone bonus or commission subsequently found to have been earned through fraud or manipulation. This right survives termination for 24 months.
Intellectual Property (Section 13): All KerlHive brand assets remain the Company's property. Your licence to use them is revoked immediately on termination. Promotional content must be removed within 7 days of termination.
Data Protection (Section 14): You are independently responsible for GDPR, PIPEDA, and Australian Privacy Act compliance in your promotional activities.
Indemnification (Section 16): You are responsible for any claims, costs, or legal fees arising from your own false claims, misrepresentation, or legal violations in connection with this Agreement.
Governing law, disputes, and entire agreement
This Agreement is governed by Delaware law. Disputes require good-faith negotiation then mediation before litigation. This document constitutes the entire agreement between the parties — prior verbal or written understandings do not apply. If any clause is found unenforceable, all remaining clauses continue in full force.
